GENERAL TERMS AND CONDITIONS (GTC)

This version replaces all previous versions.
1. Scope of Application
These General Terms and Conditions (GTC) apply to all offers, sales, deliveries and services provided by MICROSHIELD.
By placing an order for products or services, the customer agrees to these GTC.
Any differing or additional terms and conditions of the customer shall only apply if expressly confirmed in writing by MICROSHIELD.
Should any provision of these GTC be invalid or unenforceable, the remaining provisions shall remain unaffected.
2. Offers and Conclusion of Contract
All offers made by MICROSHIELD are non-binding and subject to change.
A contract shall be deemed concluded when:
- MICROSHIELD confirms the order in writing, or
- the ordered goods are delivered or the service is performed.
Unless otherwise stated, all prices are quoted in Swiss Francs (CHF) or Euro (EUR) and exclude VAT as well as any applicable taxes, duties or charges.
The customer shall bear any additional costs, including but not limited to:
- import duties
- inspection fees
- certification or documentation costs.
3. Prices
Prices published in catalogues, price lists or the online shop are non-binding.
The prices valid at the time of contract conclusion shall apply.
For long-term supply contracts or deliveries exceeding 6 months, MICROSHIELD reserves the right to adjust prices according to the price list valid at the time of delivery.
4. Delivery and Shipment
Unless otherwise agreed, delivery shall be ex works Widnau (Switzerland).
The place of performance for all obligations is Widnau.
Transport and shipment are carried out at the customer's risk.
Unless otherwise agreed, MICROSHIELD may choose the method of transport, including but not limited to:
- postal service
- courier
- air freight
- rail
- road transport
- sea freight.
Deliveries within Switzerland are free of charge for orders exceeding CHF 1,000 (excluding VAT).
Packaging costs may be charged at cost.
5. Delivery Time
Delivery dates and deadlines are generally non-binding, unless expressly agreed otherwise in writing.
In the event of delays, the customer shall not be entitled to claim damages.
MICROSHIELD is entitled to make partial deliveries provided this is reasonable for the customer.
6. Transfer of Risk
Risk shall transfer to the customer as soon as the goods are handed over to the carrier.
This shall also apply if MICROSHIELD bears the transport costs.
7. Payment Terms
Invoices are payable immediately upon receipt without deduction, unless otherwise agreed.
Discounts or deductions are only permitted if expressly agreed.
In case of late payment, MICROSHIELD reserves the right to:
- charge default interest
- suspend further deliveries
- request advance payment.
Set-off against claims of the customer is excluded unless such claims have been expressly acknowledged by MICROSHIELD in writing.
8. Retention of Title
All goods delivered remain the property of MICROSHIELD until all outstanding claims arising from the business relationship have been fully settled.
The customer agrees to the registration of the retention of title where applicable.
9. Inspection and Notification of Defects
The customer must inspect the goods immediately upon receipt.
Any defects must be reported in writing without delay, but no later than 8 days after delivery.
The provisions of Article 201 of the Swiss Code of Obligations shall apply.
Failure to notify defects in due time shall result in acceptance of the goods.
Complained goods must be stored properly until the matter is clarified.
10. Warranty
MICROSHIELD warrants that the delivered products correspond to the specifications stated in the technical documentation.
MICROSHIELD does not warrant suitability for a specific purpose.
In case of justified defects, MICROSHIELD may at its discretion:
- repair the goods, or
- replace them.
If repair or replacement fails, the customer may demand price reduction or rescission of the contract.
11. Liability
To the extent permitted by law, MICROSHIELD shall only be liable for intent or gross negligence.
Liability for:
- indirect damages
- consequential damages
- loss of profit
- production downtime
is excluded.
In any event, liability shall be limited to the value of the supplied goods or services.
12. Technical Advice
Technical advice is provided to the best of our knowledge but without obligation or guarantee.
The customer is responsible for verifying the suitability of the products for their intended use.
13. Force Majeure
MICROSHIELD shall not be liable for delays or failure to perform obligations caused by events beyond its control, including but not limited to:
- natural disasters
- pandemics
- strikes
- shortage of raw materials
- transport disruptions
- government actions.
In such cases, MICROSHIELD may withdraw from the contract.
Claims for damages are excluded.
14. Cancellation of Orders
If the customer cancels an order, the customer shall bear all costs incurred up to that point, including but not limited to:
- production costs
- procurement costs
- supplier cancellation fees
- transport costs
- administrative expenses.
15. Third-Party Intellectual Property Rights
MICROSHIELD does not guarantee that the use or resale of the delivered products will not infringe third-party intellectual property rights.
The customer shall indemnify and hold MICROSHIELD harmless against any claims arising from such infringements.
16. Data Protection
Personal data shall be processed in accordance with the applicable Swiss data protection legislation and other applicable international regulations.

17. Applicable Law and Jurisdiction
These GTC are governed exclusively by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction is St. Gallen (Switzerland).
